WHEREAS, the Parties are authorized to enter into Intergovernmental Agreements pursuant to C.R.S. § 29-1-203; and WHEREAS, Boulder County is in a housing crisis with home prices and rents that are unaffordable to a large and growing segment of the current population; and WHEREAS,access to safe,decent affordable housing is of tremendous importance to the Parties and the communities they represent; and WHEREAS,the social,economic and environmental well-being of the region is enhanced when safe, stable and attainable housing is available; and WHEREAS,the affordable housing challenge is regional and is shared by each jurisdiction; and WHEREAS, regional cooperation and action is needed to support equitable solutions to the challenge of producing an adequate amount of affordable housing and distributing it across the county; and WHEREAS, Boulder County communities and residents are committed to and have already made strong investments in affordable housing;and WHEREAS, Boulder County communities have committed to forming the Boulder County Regional Housing Partnership to create and dedicate the needed resources and implement tools and policies to aggressively address the housing needs of the community; and WHEREAS,the Parties desire to enter into an agreement to support the Boulder County Regional Housing Partnership to address the affordable housing needs and to expand access to diverse housing options within Boulder County; and WHEREAS,the interests of the public are best served by the Parties entering into such an agreement for the purpose of furthering the goals of the Boulder County Regional Housing Partnership. NOW,THEREFORE, Boulder County,the City of Boulder,and the City of Longmont agree as follows: 1. Purpose The purpose of this Intergovernmental Agreement is to define the structure of the Boulder County Regional Housing Partnership("Regional Housing Partnership"or"Partnership"),oversee the implementation of the Partnership Strategy,and govern the financial and in-kind contributions from the Parties in support of the Regional Housing Partnership. 2. Effective Date This Agreement shall be effective as of the date this Agreement is fully executed by all Parties. This Agreement shall continue for a term of two years, from the date of execution,unless any of the Parties elect to terminate its obligations per the provisions in Paragraph 8.This Agreement shall automatically renew for two additional, two-year terms unless any of the Parties elect to terminate its obligations per the provisions of Paragraph 8. 3. Governance of the Boulder County Regional Housing Partnership The Regional Housing Partnership will be governed by a Steering Committee.This Steering Committee will outline and publish regional housing strategy goals to address the regional housing needs (the"Strategy")and will be responsible for achieving the goals of the Strategy. The Steering Committee is responsible for ensuring the Strategy,the Strategy's implementation,and the Regional Housing Partnership's outcomes align with the housing needs of the region. The Steering Committee may create sub-committees, interest groups,operations teams,and any other sub-group that it determines will be necessary to achieve the goals of the Strategy.An example of a structure the Steering Committee may create, along with a potential description of the purpose,time commitment,members,and scope of these bodies is detailed in the Governance Charter(Attachment A). However,this Governance Charter is subject to change at the Steering Committee's discretion. A. The Steering Committee shall consist of the Director of the Boulder County Department of Housing and Human Services, the City of Boulder Deputy Director of the Division of Housing and the City of Longmont Housing and Community Investment Division Manager. The Steering Committee shall meet monthly or as needed, and at least once annually to review the Parties' commitments under this Agreement. B. The Steering Committee will ordinarily and under most circumstances make decisions through consensus. If the Steering Committee cannot come to a consensus, the Steering Committee may decide to vote.To ensure equal representation,each Steering Committee member has one vote of equal weight. Upon taking a vote,the Steering Committee will be bound by the majority decision. C. As currently envisioned,the Operations Team shall manage, coordinate and implement the work of the Regional Housing Partnership to achieve the desired goals of the Partnership and its Strategy.The Operations Team shall include participation of designated staff including the in- kind Manager provided by the City of Boulder,a Communications Lead,a Data and Analytics Lead,and a hired Coordinator. Membership on the Operations Team is in the discretion of the Steering Committee; other members may be added by the Steering Committee(or removed from it) to provide the Operations Team with the expertise to further the goals of the Partnership. D. Other local government entities participating in the Regional Housing Partnership are eligible to join this Agreement if and when such jurisdictions commit financial and/or in-kind resources to the Partnership and upon approval of the original three Parties by an amendment to this Agreement in accordance with paragraph 9. Approval by the Parties will be arrived at through consensus. If the Parties cannot come to a consensus,the Parties may decide to vote.To ensure equal representation,each Party member has one vote of equal weight. Upon taking a vote,the Parties will be bound by the majority decision. 4. Funding to Support the Boulder County Regional Housing Partnership In order to further the goals of the Regional Housing Partnership, funding is necessary to support certain staffing and programming expenses. It is imperative that the funding be sufficient to provide for the human and material resources needed to meet the intentions of the Partnership. Initial staffing will be one half-time Manager and one half-time Coordinator. Boulder County will contribute to the personnel and operating expenses of the Partnership in the amount of$45,000 per year for each year this Agreement remains in effect.The County will provide the funds to the City of Boulder annually in a lump sum payment to be held by the City of Boulder The City of Boulder will contribute in-kind services through its dedication of the equivalent of 50%of a full-time employee(the"Partnership Manager"), including payment of salary and benefits for each year this Agreement remains in effect. The Boulder County HOME Consortium members(City of Boulder, Boulder County, City of Longmont) have agreed to contribute administrative funding available through the U.S. Department of Housing and Urban Development HOME program(generally around$80,000 annually)to support the efforts of the Regional Housing Partnership for each year this Agreement remains in effect. The Partnership Manager has the authority to expend funds to support the work of the Partnership in an amount up to $10,000 per transaction. Expenditures exceeding$10,000 require authorization by the Steering Committee. It is imperative that each Party meets its specified obligations in order to achieve the goals of the Partnership. Should a jurisdiction's funding fall short in its obligation,the Steering Committee will attempt to resolve the issue to ensure the Partnership's needs are met. A Party that does not meet its funding obligations may be removed from the Partnership by the other Parties. 5. Liability Each Party agrees to be responsible for its own negligent actions or omissions,and those of its officers,agents and employees in the performance or failure to perform work under this Agreement. By agreeing to this provision, the Parties do not waive or intend to waive,as to any person not a party to the Agreement,the limitations on liability which are provided to the Parties under the Colorado Governmental Immunity Act, C.R.S. §24-10-101,et seq.,as amended. 6. Insurance Requirements At all times during the term of this Agreement,each Party shall maintain such insurance, by commercial policy or self-insurance,as is necessary to meet its obligations hereunder. 7. Relationship of Parties The Parties enter into this Agreement as separate,independent governmental entities and shall maintain such status throughout. Employees working on Regional Housing Partnership business shall be considered and shall remain employees of their respective agencies at all times and for all purposes under this Agreement. 8. Miscellaneous Provisions Nothing herein shall constitute a multiple fiscal year obligation pursuant to Colorado Constitution Article X, Section 20. All direct and indirect financial obligations of a Party under this Agreement are subject to annual appropriation of the funds necessary to meet such obligations. A. Any Party may terminate its obligation under and participation in this Agreement at any time, with or without cause,and without penalty, by giving the other Parties to the Agreement 30 days' prior written notice of its intent to terminate. B. Nothing in this Agreement shall be deemed to create a partnership,joint venture or employment relationship between the Parties. 9. Amendments This Agreement may be altered,amended, or repealed only on the mutual Agreement of the Parties by a duly executed written instrument.The City Manager or designee of each party may approve and execute amendments, including amendments adding new parties to this Agreement, as long as the amendment does not substantially increase the funding or other obligations of the Party. Time Commitment: Standing Monthly Meeting(2 hour)+Ad Hoc meetings Who: • Primary Members: One representative from each of the Parties to the Intergovernmental Agreement establishing the Structure and Financial Governance of the Boulder County Regional Housing Partnership(the"Housing Partnership IGA")as follows: Director of the Boulder County Department of Housing and Human Services,the City of Boulder Deputy Director of the Division of Housing and the City of Longmont Housing and Community Investment Division Manager. • Alternates: Each participating jurisdiction will assign one alternate to attend and be authorized to take any necessary action in the absence of the Primary Member • Within 30 days of a new Party joining the Housing Partnership IGA,the new Party must assign one representative and one alternate to participate in the Steering Committee. Decision Making Authority: Approval of all Partnership decisions, unless the Steering Committee has otherwise delegated such a decision to another body of the Partnership. The Steering Committee may make decisions via email as needed.The Steering Committee will ordinarily and under most circumstances make decisions through consensus. If the Steering Committee cannot come to a consensus, the Steering Committee may decide to vote. To ensure equal representation, each Steering Committee member has one vote of equal weight. Upon taking a vote,the Steering Committee will be bound by the majority decision. Scope: • Govern the Partnership • Ensure fiscal health of the Partnership • Work in concert with the Operations Team • Respond to and provide guidance to the Operations Team • Each Primary Member shall serve on the Advisory Committee as Lead Representatives of their respective jurisdictions Regional Housing Partnership Advisory Committee Purpose: Provide advice to the Partnership regarding the implementation of the Strategy Time Commitment: Standing Quarterly Meeting(2 hours)+Ad Hoc meetings as necessary Who: • Primary Advisors: One primary advisor from each Boulder County governmental entity desiring to participate in the Advisory Committee and approved to participate in the Advisory Committee by the Steering Committee. The Steering Committee may require any participating governmental entities to adopt a resolution supporting the Strategy prior to participating in the Advisory Committee. • Alternate Advisors: Each jurisdiction will assign one alternate to attend and be authorized to take any necessary action in the absence of the Primary Advisor Members of the Advisory Committee should be high-level leaders possessing knowledge of and policy resource allocation decision-making authority in their jurisdiction. Scope: • Evaluate and recommend goals, priorities and tactics to achieve the mission and Strategy of the Partnership • Primary Advisors will implement Strategy by directing certain action items in their respective jurisdictions • Identify outcome measures and collaborate with the Operations Team to monitor progress and accomplishments • Recommend process improvements to the Steering Committee to boost effectiveness of the Partnership • Help the Partnership communicate a clear shared vision to the community • Promote public awareness and engagement • Provide advice for all contemplated Partnership initiatives • Inform Partnership about relevant local,state and federal policy Note: The Regional Housing Partnership Advisory Committee is not intended to take the place of any individual agency's decision-making bodies or impact any individual agency's decision-making ability. Partnership Subcommittees Purpose: The Steering Committee may create subcommittees for subject matter expertise in a variety of areas as needed.The Steering Committee will determine the members, scope of work, and time commitment of each subcommittee upon its creation. Partnership Champions Purpose: Exercise the political will,advocacy and leadership necessary to meet the goals, mission,and Strategy of the Partnership Time Commitment: As needed Who: • One two elected officials from each Boulder County governmental entity desiring to participate as Partnership Champions and approved to participate as Partnership Champions by the Steering Committee. The Steering Committee may require any participating governmental entities to adopt a resolution supporting the Strategy prior to participating as Partnership Champions. Scope: • Provide Partnership with political acumen and local connections necessary to facilitate efficient implementation of Strategy in each of the Champions' respective jurisdictions. • Keep the community updated on the vision and goals of the Partnership's Strategy • Participate in navigating opposition to the Strategy • Actively participate in furthering measures and initiatives requiring public support Housing Interest Group Purpose: Provide Partnership with key stakeholder perspectives and expertise to inform implementation of the Strategy Time Commitment: As needed Who: • Local leaders(non-elected), agency representatives,housing partners(development, providers, services,etc.),advocates,members of the public,etc.as approved by the Steering Committee Scope: • Review ideas and actions to be implemented through the Partnership to advance the Strategy • Identify opportunities and challenges in each of the member's respective communities to help the Partnership achieve its goals • Provide forum for stakeholders and community members to share expertise and perspective to inform implementation of the Strategy • Participate in furthering measures requiring public support by leading and managing certain ballot issue campaigns • Help engage and educate the public regarding affordable housing Partnership Operations Team(Partnership Manager, Partnership Coordinator,Communications Lead,and Data/Analytics Lead) Purpose: Manage,coordinate,and implement the work of the Partnership to achieve the Strategy of the Partnership; serve as a link between Partnership operation and the various Partnership committees and groups. All team members will stay apprised of local housing needs and opportunities, residential development trends,resources and tools. Regional Housing Partnership Manager(20 hours/week,provided by the City of Boulder} Scope: • Manage Partnership operational direction and governance including preparation of fiscal reports • Provide stewardship of pertinent agreements and documents including Intergovernmental Agreement,Governance Charter, any adopted resolutions,the Strategy,etc. • Lead jurisdictional coordination and communication • Facilitate meetings of Steering Committee, Advisory Committee, Partnership Champions and Housing Interest Group • Facilitate communication between Partnership committees and groups and other key stakeholders • Develop additional resources to support the work of the Partnership Regional Housing Partnership Coordinator(20 hours/week) Scope: • Lead administrative coordination including the scheduling of meetings and events, logistics, preparation of meeting agendas and pertinent materials, supports communications development and distribution,and other duties as assigned • Provide meeting support(e.g. take notes,track action items and provide follow-up) • Facilitate subcommittee meetings including presentation of subcommittee work items to Advisory Committee including summary of activities, needs,recommendations and requests from subcommittees • Assist the Data and Analytics Lead with data collection,analysis, and reporting • Serves as Partnership Manager in the absence of the Manager • Help Partnership Manager develops additional resources to support the work of the Partnership Communications Lead(5- 10 hours/week) Scope: • Develop and implement Partnership communications strategy including print, graphic design, social media,website, marketing,press/media management, and event planning • Prepare,publish,and disseminate communication documents Facilitate updates of Regional Housing Strategy documents to reflect current data,housing needs,trends and outcomes • Manage and updates the Partnership website • Supports additional administrative duties of the Partnership Manager and Coordinator Data and Analytics Lead(5— 10 hours/week) Scope: • Lead Partnership data and analytic-related work items • Ensure high-level data and reporting and analysis informing the Strategy • Guide the identification of data sets,metrics, variables, and collection practices tracking Partnership progress and outcomes • Clean and validate data to ensure accuracy,completeness and uniformity • Create and maintain progress and outcomes including inventory tracking(e.g. dashboards) • Interpret data to discover solutions and opportunities and facilitate data-driven decision making
