IRIS AVENUE AND 28TH STREET BUS THEN BIKE SHELTER RELOCATION TO
DIAGONAL HIGHWAY AND 30TH STREET
INTERGOVERNMENTAL AGREEMENT
This intergovernmental agreement ("Agreement) is made and entered into this day ofZ-6 5,
2015, by and between the County of Boulder, a body corporate and politic ("County") and the City of
Boulder, a Colorado home rule municipality ("City") (collectively "the Parties").
RECITALS:
WHEREAS, the Parties are authorized to enter into this Agreement pursuant to C.R.S. §29-1-201 et. seq.;
and
WHEREAS, the County previously installed a Bus then Bike Shelter near the intersection of Iris Avenue
and 28th Street and the Parties now believe that relocating it near the existing underpass at the Diagonal
Highway and 30th Street will provide a more convenient user experience and increased shelter use; and
WHEREAS, the Parties wish to recognize when their organizational goals overlap, and take advantage of
opportunities to collaborate toward improved First and Final Mile connections for transit patrons; and
WHEREAS, the City has secured funding for design and construction of various public works
improvements along the Diagonal Highway, between 28th Street and Independence Road (the "Project");
and
WHEREAS, the City would like to satisfy the County's request to construct the infrastructure necessary
for the County's relocation of its Bus then Bike Shelter from the current location at Iris Avenue and 28th
Street to Diagonal Highway and 301h Street; and
WHEREAS, the City's Project serves as an appropriate time to perform this coordinated relocation of the
shelter.
HEREBY BE IT RESOLVED that Boulder County and the City of Boulder agree to the following:
1. The City will be responsible for removal of the existing concrete pad at the existing shelter at
28th Street and Iris Avenue.
2. The City will be responsible for the design, permitting, utility clearances, traffic control and
construction of the new concrete pad and any required infrastructure related to pad
construction at the new location near the SE corner of 30th Street and Iris Avenue. The City will
use the concrete pad specifications developed and used at the current location and provided in
Exhibit A:

3. The City will seek and obtain County approval, which will not be unreasonably withheld, of the
plans of the new pad before proceeding with any construction to insure the pad specifications
are sufficient to receive the relocated shelter and allow for full shelter operation.
4. The County will be responsible for the relocation of the exiting shelter and the removal of all
components of the shelter, bike racks and signage at the 28th Street and Iris Avenue location.
The County will be responsible for obtaining all City building/electrical/other permits required
for the shelter relocation. The County will also be responsible for termination of the electrical
connection to the existing shelter location.
5. The City will provide the County a minimum 3 weeks advance notification of the City
contractor's schedule for the relocation. This schedule will identify a 2 -week minimum window
of time for the County to relocate its shelter to the new location. The City will coordinate the
work with the County and assure its contractor adequately completes construction of the new
concrete pad, necessary walls, and all other necessary infrastructure related to the concrete pad
before the County's contractor mobilizes to perform the work. The City will reimburse the
County for the cost of all building and/or electrical permits required for the relocation of the
existing shelter.
6. The Parties expect that the outside northbound lane on 30th Street between Iris Avenue and SH
119 will need to be closed during shelter relocation. The City will provide traffic control during
'hi"eriod-including development of traffic-control-plans,—and-traffic-control-inspections.. The
Parties will coordinate the timing of the shelter relocation such that the contractors for traffic
control and shelter relocation will be available at the same time.
7. The County will be responsible for the ongoing maintenance of all components of the shelter.
Shelter components include but are not limited to walls, structural columns, signs, bike racks,
doors and hinges, mechanical door closing components, crash bars, electrical panels and
lighting. Maintenance includes but is not limited to replacing broken or damaged components,
removing physical barriers to use, regular sweeping, power washing and graffiti removal.
8. The City is responsible for constructing the new shelter pad (and related infrastructure)
according to the County -approved plans and specifications. Once completed, the City will be
responsible for the perpetual structural integrity of the pad. The City will, at its own cost, repair
or replace any damage to the pad or required infrastructure related to pad construction (e.g.
retaining walls). Damage includes but is not limited to cracks, shifting, erosion or any other
change that prevents normal operation of the shelter.
9. This Agreement is for the benefit of the Parties and creates no rights for third parties.

10. Either party may terminate this Agreement at any time upon 180 days written notice to the
other Party.
11. Nothing contained in this agreement shall constitute any waiver by the County or the City of the
provisions of the Colorado Governmental Immunity Act or any other immunity or defense
provided by statute or common law.
12. The Parties certify that they are self-insured for property and general liability coverage including
errors and omissions to the limits set forth in the Colorado Governmental Immunity Act.
13. Whenever notice is required to be given hereunder, it shall be in writing and may be sent by
facsimile or delivered to the party entitled thereto or mailed to the party entitled thereto by
registered or certified mail, return receipt requested. Until changed by notice in writing, notice
shall be given as follows:

14. This Agreement may be amended only in writing, and following the same formality as
the execution of the initial Agreement.
15. In the event that any provision in this Agreement conflicts with the law, this Agreement
shall be modified to conform to such law or resolution.
16. The Parties shall implement this Agreement in good faith, including acting in good faith
in all matters that require joint or coordinated action.
