ADMINISTRATION
INTERGOVERNMENTAL AGREEMENT
This intergovernmental agreement ("Agreement) is made and entered into this day of
, 2015, by and between the County of Boulder, a body corporate and politic ("County")
and the City of Boulder, a Colorado home rule municipality, ("City's (collectively "the Parties").
RECITALS:
WHEREAS, the Parties are authorized to enter into this Agreement pursuant to C.R.S. §29-1-201
et. seg.; and
WHEREAS, the Parties wish to improve First and Final Mile connections for transit patrons; and
WHEREAS, the City has secured funding to design, construct and maintain a card -key accessed
Bus -Bike Shelter ("Shelter") at the Boulder Transit Center at 14"' Street and Walnut Street,
Boulder, Colorado, as depicted in Exhibit A; and
WHEREAS, the City has in-place all required agreements with RTD to build and operate the
Shelter on RTD property; and
WHEREAS, the County has three existing and operational shelters in Boulder County; and
WHEREAS, the Parties wish to use the same card key technology at the Boulder Transit Center
to create a seamless experience for users accessing more than one shelter; and
WHEREAS, the County has established procedures for administering shelters and issuing card -
keys to members of the public.
HEREBY BE IT RESOLVED that the County and the City agree to the following:
1. Except as described in Paragraphs 2-5 below, the City will be responsible for the
maintenance of the Shelter.
2. The County, through its contractor and on behalf of the City, will purchase all
components related to the card -key access. Components include card -key readers, door

controllers, modems, electrical components and communication software and hardware.
Specifications for the key -card access components are attached as Exhibit B. These
specifications may be modified by the Parties for any reason including but not limited to
the unavailability of any specified components. The City will reimburse the County for
the costs associated with the purchase of these components.
3. The County will be responsible for the installation and operation of the card -key access
components. The City and County will cooperate in good faith to allow the County
adequate time and access to install and test these components prior to the opening of the
shelter.
4. The County will be responsible for the maintenance of the card -key access components.
Maintenance includes but is not limited to replacing broken components, upgrading
hardware and software components when needed and troubleshooting communication
issues.
5. The County shall be responsible for the administration of card -keys to interested patrons,
including maintaining an active web -based interface in which users apply for shelter
access. The County shall be responsible for reviewing and approving /denying
applications. The County shall be responsible for mailing cards to approved applicants
and terminating access to patrons in accordance with the agreed upon Terms &
Conditions, as described in Exhibit C.
6. Both Parties shall work together to market the Shelter to new and existing transit patrons.
7. This Agreement is for the sole benefit of the Parties and creates no rights for third parties.
8. Either party may terminate this Agreement at any time upon 180 days written notice to
the other Party.
9. Nothing contained in this agreement shall constitute any waiver by the County or the City
of the provisions of the Colorado Governmental Immunity Act or any other immunity or
defense provided by statute or common law.
10. The Parties certify that they are self-insured for property and general liability coverage
including errors and omissions to the limits set forth in the Colorado Governmental
Immunity Act.
11. Whenever notice is required to be given hereunder, it shall be in writing and may be sent
by facsimile or delivered to the party entitled thereto or mailed to the party entitled

thereto by registered or certified mail, return receipt requested. Until changed by notice
in writing, notice shall be given as follows:

12. This Agreement may be amended only in writing, and following the same
formality as the execution of the initial Agreement.
13. In the event that any provision in this Agreement conflicts with the law, this
Agreement shall be modified to conform to such law or resolution.
14. The Parties shall implement this Agreement in good faith, including acting in
good faith in all matters that require joint or coordinated action.
IN WITNESS THEREOF, the County and City have executed this Agreement as of the day and
year first above set forth.

1. Boulder County is not responsible for any lost, stolen or damaged property within the shelters or secured to
the outside of the shelters.
2. While access to the shelters is restricted to other authorized users, Boulder County cannot guarantee against
illegal entry.
3. Shelters may default to an unlocked position during certain technical failures, which both allows authorized
users to access their bicycles, but may also allow unauthorized entry. Boulder County shall take all reasonable
steps to prevent such technical failures.
4. Bicycles and bicycle accessories should not be left unlocked within the shelters. Bicycle should be secured to
racks within the shelters: locking the frame and two wheels is recommended.
5. In the event of theft local police should be contacted before notifying Boulder County Transportation.
b. Issued key cards are to be used only by the authorized individual to which the key card was issued. Key
cards are not transferable. Any individuals found sharing their card will have their shelter access revoked
immediately.
7. Shelter access should not be provided to anyone other than the authorized key card holder for example,
shelter doors should not be held open as a form of courtesy). "Tailgating," or entering the shelter once
another authorized user has used their key card to open the door, is not permissible. Individuals must use
their own key card to access the shelter. This is important both for security and data collection purposes.
8. The shelters ore a shared space and are intended for regular commuters. For the shelters to function properly
the bicycle parking spaces within the shelter must 'tum -over'. As such, using the shelters as storage for
bicycles that are not regularly in -use is prohibited.
9. Authorized users may park only one bicycle within each shelter for which they have been granted access.
10. Users are expected to keep the shelter clean and free of trash. Authorized users may store bicycle
accessories only as long as these items do not interfere with others using the shelter.
11. Boulder County has the right to remove any personal property deemed abandoned, a security risk or found
to be interfering with the regular use of the shelter.
12. Boulder County will monitor individual use of the shelters through key card access reports, spot checks and
other methods. Key card holders not using the shelters as intended may have their access revoked.
13. Lost or stolen cards should be reported immediately to Boulder County Transportation so they can be
deactivated and prevent unauthorized entry.
14. Problems accessing the shelter or other technical problems should be reported immediately to Boulder
County Transportation. Boulder County will respond as quickly as possible.
15. Boulder County Transportation will conduct periodic, anonymous user surveys. To maintain authorized access
to the shelters users must respond to the surveys. Information collected is important for the long-term funding
and expansion of the program.
16. Authorized users must keep their application data up-to-date with Boulder County Transportation. If any
contact information changes Boulder County Transportation should be contacted to update the information.
The inability of County staff to contact authorized users could result in shelter access being revoked.
17. Boulder County has the right to terminate an individual's access to any shelter at any time, in its sole
discretion.
18. These terms and conditions may change without notice. Users are encouraged to refer back regularly to
review any changes.
