INTERGOVERNMENTAL AGREEMENT FOR ESTABLISHMENT OF
THE "FRONT RANGE FIRE SERVICE CONSORTIUM" TO PROVIDE
FIRE SERVICE RELATED TRAINING, CERTIFICATION AND
ENHANCEMENT OF FIRE AND EMERGENCY MEDICAL SERVICES
This Agreement is made this (,Q~ day of ~I.L~ , 2006 among the
Union Colony Fire/Rescue Authority ("Union Colony"), Pou Fire Authority ("Poudre"), the
City of Loveland, Colorado, a Colorado municipal corporation ("Loveland"), the City of
Longnont, Colorado, a Colorado municipal corporation ("Longmont"), the City of Boulder,
Colorado, a Colorado municipal corporation (`Boulder"), the City of Cheyenne, Wyoming, a
Wyoming municipal corporation ("Cheyenne") and Mountain View Fire -Protection District
("Mountain View") for establishment of the "Front Range Fire Service Consortium" to provide
cooperative fire service related training, certification and cooperation for efficiency and
effectiveness of the parties in providing fire and emergency medical services to the public within
the parties respective jurisdictions.
WHEREAS, Union Colony, Poudre, Loveland, Longmont, Boulder, Cheyenne, and
Mountain View have informally cooperated with one another for joint fire service retated
training and certification and other azeas to enhance the efficiency and effectiveness of the
parties fire and emergency medical services; and
WHEREAS, the parties have agreed to formalize their relationship, including but not
limited to, establishing a board of directors and bylaws; and
WHEREAS, the parties have agreed to formerly establish and name the association the
"Front Range Fire Service Consortium ("Consortium");" and
WHEREAS, the parties wish to reduce their understanding to writing regarding
participation, responsibilities, and limitations regarding the party's participation in the Front
Range Fire Service Consortium;
NOW THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS,
TERM5, CONDITIONS, RESPONSIBILITIES, AND PROMISES, THE ADEQUACY OF
WHICH IS ACKNOWLEDGED BY AND BETWEEN THE PARTIES, THE PARTIES
AGREE AS FOLLOWS:
1. Front Ranee Fire Service Consortium Established/Board of Directors/Bvlaws.
A. There is hereby established among the parties the "Front Range Fire Service
Consortium," a voluntary association among and between the parties, which is not
intended and shall not constitute a legal enUty for any purposes whatsoever. The
parties agree that participation in the consortium is purely voluntary; however, once
a member of the consortium, the party is subject to the board of directors
determinations and are bound to the bylaws as adopted by the board of directors.
B. The Consortium shall establish a board of directors to include a representative
from each member of the Consortium. The boazd of directors shall establish bylaws
for the Consortium.
2. Annual Assessments. The parties hereby agree that each party shall pay to the
Consortium, its annual assessments as established by the boazd of directors to carry out the
purpose of the Consortium. The next calendaz yeaz's annual assessments shall be established by
the Board of Directors at a meeting in April of each calendar yeaz. Annual assessments shall be
paid by the members on or before February 1 st of each calendar yeaz.
The financial obligations of the Colorado members as contained herein shall not be deemed to be
multi-year financial obligations under Article X, Section 20 of the Colorado Constitution. Such
obligations shall be subject to annual appropriat+:on of funds by ~ach member's respective
governing board. Notwithstanding any[hing herein to the contrary, in the event of non-
appropriation, the non-appropriating party shall have the right to terminate this Agreement at the
end of the party's then current fiscal year without penalty.
3. Purpose of Consortium. The parties agree that the Consortium is established to
facilitate cooperative efforts among the parties as it relates to fire service trauung and
certification. Additionally, the Consortium may provide other cooperative efforts of general and
specific nature, all intended to enhance the efficiency and effectiveness of the members of the
Consortium in provided fire and emergency medical services to the members of the general
public of their respective jurisdictions.
4. New Members. The parties agree that new members may be admitted to the
Consortium subject to the approval of the Boazd of Directors of the Consortium.
5. Termination of Membership. Any party may terminate its membership in the
Consortium provided that the member gives one yeaz written notice to the Consortium prior to
the member's resignation from the Consortium.
6. Failure of Members to Adhere to Direction of the Board or Violation of
Bvlaws. in the event any party to this Agreement fails to comply with the requirements of this
Agreement, direcrions from the Board, violation of ttte Consortium bylaws, or any violarion of
any other policy or procedure of the Consortium, then in that event, upon majority vote of the
Boazd, the offending member shall be terxninated from the Consortium effective within thirty
(30) days after said notice by the Board. All monies paid by the temunated member, shall be
retained to the extent that said monies have been paid for services or costs of the Board expended
and/or nonrefundable; however, the portion of terminated members, unexpended funds,
unencumbered or refundable funds attributable to said member, shall be retumed to the
terminated member within thirty (30) days after an accounting of such sums.
7. No Liabilitv/Indemnification/Hold Harmless. The parties specifically agree that
no member of the Consortium shall be liable to any other member of the Consortium for any
action, cause of action, or liability whatsoever. The parties specifically agree that the
Consortium is intended to provide a cooperative forum for its members to coordinate training

and certification and other areas of fire and emergency medical services. However, nothing
contained in this Agreement or the services provided in furtherance of this Agreement, shall
result or create a cause of action of any nature or kind among the parties to each other including
its officers, employees, or volunteers. To the extent allowed by law, each party of the
Consortium hereby releases and agrees to indemnify any other party for any and all causes,
claims, demands, judgments of any nature or kind, resulting out of the alleged negligence of that
party. Each party shall be liable for its own employees, officers, and volunteers and hereby
releases, indemnifies, and holds hazmless all other party to this Agreement far the negligence of
that party's officers, employees and volunteers. Each party agrees that, pursuant to Sections 29-
5-109 and 29-5-110, Colorado Revised Statutes (C.R.S.), and all applicable Wyoming Statutes,
all fire fighters and other personnel shall remain covered by and eligible for the worker's
compensation and fire fighter's pension benefits (including disability, death and survivor
benefits, to which that individual would othervvise be entitled if the injury, disability ~r death
occurred as a result of any action taken by any member of the Consortium or by the boazd of
directors of the Consortium).
8. Preservation of Immunitv. NoUung contained in this Agreement shall be
construed as a waiver of immunity provided by common law or by statute, including but not
lixnited to the Colorado Governmental Immunity Act, §24-10-101, et. seq., C.R.S. and all
applicable Wyoming Statutes, or as an assumption of duty with respect to any non-party to this
Agreement. The parties specifically intend that all common law and statutory immunities of
their respective jurisdiction remain in full force and effect.
9. No Third Partv Beneficiarv. As expressly understood and agreed that the terms
and the enforcement of the terms and conditions of this Agreement, and all rights of action
relating to such enforcement, or strictly reserved to the undersigned parties, and nothing in this
Agreement shall give or allow any claim or right or cause of action whatsoever by any other
person not included in this Agreement. It is the expressed intention of the undersigned parties
that no person and/or entity, other than the undersigned parties, receiving services or benefits
under this Agreement, shall be deemed to be any more than an incidental beneficiary only.
10. Amendments. This Agreement may be amended only in writing and executed by
each and all of the parties hereto.
11. No AssiQnment. The terms, conditions, and provisions contained in this
Agreement and all amendments hereto shall be binding upon the parties to this Agreement. This
Agreement may not be assigned by any party within the written consent of all the parties hereto.
12. Intearation. This Agreement represents the entire integrated Agreement among
the parties who signed this Agreement with respect to the matters set forth herein and supersedes
all prior representations or agreements respecting those matters, either written or oral.
13. Other AEreements. Nothing in this Agreement shall prevent the party to this
Agreement from entering into any other Agreement with any other party.

14. Execution of A2reement. This Agreement and amendments hereto may be
executed in several counterparts, binding upon all signing parties, even though not all parties
have signed the same document. All signed documents shall be filed with the Consortium's
secretazy and originals kept in the files of the Consortium.

ORDINANCE NO. 7482
AN ORDINANCE ADOPTING AN 1NTERGOVERNMENTAL
AGREEMENT FOR ESTABLISHMENT OF THE FRONT
RANGE FIRE SERVICE CONSORTNM.
Section 1. The City Council herby adopts and approves the intergovernmental agreement
titled "Intergovernmental Agreement for Establishment of the Front Range Fire Service
Consortium," included as Attachment A and incorporated here by this reference.
Section 2. The mayor is directed to sign the Intergovemmental Ageement for the
establishment of the Front Range Fire Service Consortium.
Section 3. This ordinance is necessary to protect the public health, safety, and welfaze of
the residents of the city, and covers matters of local concern.
Section 4. The city council deems it appropriate that this ordinance be published by title
only and orders that copies of this ordinance be made available in the office of the city clerk for
public inspection and acquisition.
