HomeMy WebLinkAboutExhibit 1-Agenda Item 7-Rayback Collective Section A: TIPS Training Minn The renewal application was submitted in-person as well as evidence of the TIPS Cards. Upon review, it was found that several folks either were not included in packet (their physical cards) as they just signed up for a TIPS class or they had only completed an E-Course (which is not acceptable). So, since we were still within the 90 days of the hire date of some of those employees, we went ahead and had them signed up for an in-person TIPS Class and provided evidence of this to the licensing staff, which was the remaining people the City needed evidence for. Please see email delivered to the City of Boulder Licensing staff with evidence that they have been registered for the class, completed the class and/or TIPS card for those employees. As of today, we have ALL employees approved with TIPS cards and this is included in the PDF attachment for your records. Three employees just completed a class this past week based on their hire date or expiration of current TIPS card. Please see email attached confirming their participation in the most recent TIPS class. We understand that the rules might change to 60 days for obtaining a certified TIPS approval prior to working, instead of the current 90 days, and we support this and will work to enforce this internally and actively work with new employees to ensure compliance. We ensure service begins and ends when it is supposed to. We ensure that the food requirements are complied with and have done so to-date. We ensure we check ID's for each drink that is ordered so that no one under 21 is served or passed an alcoholic beverage. We have passed several (more than 5) "Stings" by the City of Boulder, other organizations on a volunteer basis as well as internal stings to ensure we are doing our due diligence in the service of alcohol. It also shows that we actively removing trucks from their shifts if they are not approved by the time their time to serve comes around. There are times when this has slipped through the cracks, we acknowledge that but are working to remove any of these misshapps as a part of our process. Please see the facts and figures below on our reliability of ensuring that for each shift for food trucks, we have an approved vendor. Currently at 99%. Note: We are following up with the city periodically to ensure that if trucks are NOT approved and on the city's website fist of approved trucks, we are in constant communication the city to confirm that and/or remove trucks from the schedule (which is done 3 months in advance) if they are not approved. January- March = Lunch: 90 shifts, Dinner: 180 shifts April -June = Lunch: 182 shifts, Dinner: 364 shifts July- September= 184 shifts, Dinner: 368 shifts October- December= 92 shifts, Dinner: 276 shifts Total Lunch shifts: 548 shifts Total Dinner shifts: 1,188 shifts Total Shifts/Year: 1,733 total shifts Issues highlighted: 3 in 2019, so 0.173% of truck shifts are out of compliance IF one assumed we were out of compliance more (which we are not), we can realistically say that during the 1 st quarter per year there could be no more than 3 per month so a total of 9, but we will round up to 10 instances of trucks no compliant. Event at 10 shifts, that still represents 0.577% in violation. Note: when Corbin gets confirmation from the City of Boulder that trucks are not approved as an MFV, she does not remove RIGHT AWAY. Instead, she writes down all of their shifts that they have scheduled and leaves them on the schedule. One by one, she will find a replacement for that non-approved truck's shifts and start removing their shifts appropriately once she finds the replacement. So, when the City looks at Rayback's calendar and they see non- approved trucks on the schedule, it is because Corbin is still working to find replacements for those shifts. Scheduling Note Rayback has printed out and provided our schedule through the remainder of the year through 12/31/18. You will find here that all trucks on this list are approved and the 1 truck that is NOT, is currently in the review process but their 1 st shift with Rayback is not until early October. If that truck does not obtain approval by then on their MFV license, they will be removed from the schedule until they provide this. Any new trucks that may be added to the schedule must first be approved as an MFV and that information provided to us before serving their first shift. We have highlighted the trucks on the current approved city list as of 6/18/19 that match the vendors we have on our schedule to show that everyone is approved. Current Process and Difficulties Associated Food TruckWMFV's - The City of Boulder runs the MFV license process on a calendar year, January to December. In late October/early November, the City sends out renewal applications to existing trucks for the following year's license. - Up to 85 trucks (previously 15 back in 2018), now work to complete the thorough process of obtaining all the inspections and approvals from various departments within the City and County or State. - Once these approvals and inspections are finalized, the vendors then submit the application and approvals to the City and wait. - Given the time of year with Thanksgiving, Christmas and New Year's and time off that many people take, the system is set up to cause delays and not be efficient and unfortunately, punish small businesses from operating during a really slow time of year. In Denver, the City does their Food Truck licensing on 12 month rolling basis from the time of renewal which allows both the staff, the supporting departments and the food trucks time to process an application. This is especially helpful so that the Staff and various departments are not inundated with renewals during a time when many folks are taking vacation. Only during the 1 st quarter of each year does there ever seem to be an issue with getting vendors and trucks approved within the City of Boulder due to the workload and time of year. This is because everyone is trying to get health certificates, fire inspections, sales/business licenses and then going through the MFV renewal process all at the same time and at some point, it reaches a critical mass and delays are bound to happen. One example of a Denver based truck is that they didn't obtain their CDPHE renewal until January 1, 2019 but you must have that in order to submit to the City of Boulder so it shows that the two organization's schedules are not aligned. RAYBACK COLLECTIVE ftWUMGNG8ft&AWWMWA%WW~ This Mobile Food Vehicle Vendor Agreement ("Agreement") is made by and between Boulder Food Park, LLC, a Colorado Limited Liability Company doing business as Rayback Collective ("Rayback Collective"), and ("Vendor"). RECITALS WHEREAS, Rayback Collective owns and operates an indoor and outdoor eating and drinking establishment located at 2775 Valmont Road, Boulder,CO 80304("Premises");and WHEREAS,in addition to providing its own food and beverage,Rayback Collective desires to make available, on a limited and non-exclusive basis,additional food and non-alcohol beverage options for its customers at the Premises through various outdoor mobile food vehicle vendors;and WHEREAS,Vendor is a fully licensed and legal compliant mobile food vehicle vendor("MFV")that specializes in mobile commercial food and non-alcohol beverage operations, and is professional, knowledgeable and sophisticated in the field of mobile food vehicle vendor operations;and WHEREAS, in reliance upon the experience and representations of Vendor, including but not limited to Vendor's full compliance at all times with all local and state licensing and permitting requirements, Rayback Collective desires to grant Vendor a limited, revocable and non-exclusive license as more fully set forth herein; NOW THEREFORE, in consideration of the foregoing, and for other good and valuable consideration, the adequacy and sufficiency of which is hereby acknowledged, intending to be legally bound,the parties agree as follows: Section 1:Limited License. From time to time, Rayback Collective grants Vendor a limited, revocable and non-exclusive license to occupy and use certain outdoor space at the Premises, at such locations and for such times as may be determined in Rayback Collective's sole and absolute discretion. Rayback Collective will take reasonable efforts to schedule Vendor's use at mutually convenient times,but Rayback Collective does not guarantee scheduling, use or location of the outdoor space, if any. The outdoor space at the Premises is licensed to the Vendor in its "as-is" "where is" condition,with any and all faults or pre-existing conditions or faults, whether known or unknown to Rayback Collective, and Rayback Collective does not make any representation or warranty regarding the condition,fitness, purpose or use of the outdoor space. Section 2:Use. Vendor shall use the outdoor space as may be granted by the limited license solely for the purpose of providing food and non-alcohol beverage service from Vendor's MFV. No products or services unrelated to Vendor's MFV operation shall be sold, used, demonstrated, displayed, marketed or promoted by Vendor at the Premises. Rayback Collective reserves the right,in its sole discretion,to prohibit or restrict any or all of Vendor's use, activities or conduct at the Premises. Vendor shall not commit, or permit or suffer anything to be done in or about the Premises which will obstruct or interfere with the rights of other MFVs, Rayback Collective, or Rayback Collective's customers and staff. Vendor shall use its best efforts and take all action to prevent offensive odors, emissions, fumes, liquids or other substances or excessive noise from escaping or extending beyond its MFV. Vendor shall not use or allow the Premises to be used for any improper,indecent,unlawful,or hazardous purpose or activity. Vendor acknowledges that Rayback Collective makes no promise or representation of any kind concerning Vendor's expected sales or profits. Section 3:Term of Agreement. This Agreement shall be month-to-month, commencing on the first (15`) day of the month following the date the Agreement is signed by the parties. The Agreement shall automatically renew on the first (1St) day of each subsequent month unless terminated by either party according to Section 4 below. If Rayback Collective grants Vendor the ability to begin operating under this Agreement any time prior to the first (1St) day of the month following the date of this Agreement,the terms and conditions of this Agreement will be in full force and effect. Section 4:Termination. Either party may terminate this Agreement, for any reason, by delivering written notice to the other. Termination shall be effective on the fifth (5t") calendar day after delivery of such notice. If Rayback Collective elects to terminate this Agreement because Vendor has breached or threatens to breach any term or provision of the Agreement, no notice shall be required and termination shall take effect immediately. In the event of termination of this Agreement,by either party, Rayback Collective shall have no further obligation or liability to Vendor, including but not limited to liability for loss profits, consequential or incidental damages, or reimbursement of out-of-pocket costs and expenses, all such liability and damage are expressly waived herein by Vendor. Section 5:Vendor Licensing Fee. The Vendor Licensing Fee shall consist of an initial non-refundable payment and daily percentage payments as follows: (1) the initial non-refundable lump sum payment of $0.00 Dollars upon mutual execution of this Agreement; and (2) a daily percentage lump sum payment in the amount equal to ten (10%) of Vendor's total gross sales,for any and all Vendor transactions(including special events)on each day Vendor is granted a limited license to use or occupy any outdoor space at the Premises. All payments shall be made by cash,card or check,and Vendor shall make the daily percentage payment prior to leaving the Premises on each day in which Vendor was granted a limited license to use or occupy the Premises. At the time of making daily percentage payment, Vendor shall also deliver to Rayback Collective documentation that details the number of transactions by Vendor and Vendor's calculation of total gross sales. Rayback Collective will make all reasonable effort to keep Vendor's sale's documentation confidential and will not share with any other licensed Vendor,Third Party or customer.Vendor shall pay a late charge of$100.00 for any daily percentage payment not timely paid. Throughout the term of this Agreement, Vendor shall, at its own cost and expense, maintain adequate insurance coverage,with limits not less than the amounts set forth below and with an insurer or insurers licensed to do business in the State of Colorado, rated A or better by A.M. Vendor shall provide proof of insurance and deliver the policy forms to Rayback Collective upon execution of this Agreement, and at such other times or intervals as Rayback Collective may require. Rayback Collective must be notified in writing at least thirty (30) days prior to any cancellation, material change or non-renewal of any of Vendor's insurance coverage. Section 7: Legal Requirements. Vendor shall,at its sole cost and expense, at all times comply with all federal,state,county, or municipal laws, ordinances, rules, regulations, directives, orders and/or requirements now in force or which may hereafter be in force with respect to its business, its MFV, and its use and occupancy of the Premises, including, but not limited to,the preparation and service of food products,permitting and licensure with the City and/County of Boulder, and all fire, safety, health, environmental and other matters. Vendor shall, at all times, maintain all permits, registrations and licenses required by City and/or County of Boulder, and shall provide copies of the same upon the execution of this Agreement, and at all renewals or extensions thereof. Mobile Food Vehicle Vendor Agreement 2016 Confidential Page 3 of 7 Section 8,Rules and Regulations Rayback Collective may, from time to time, establish, amend or modify such rules and regulations as it deems necessary in its sole discretion,including those in Exhibit A. Vendor shall comply with all such rules and regulations and any failure to do so will be result in a breach of this Agreement. Section 9:Publicity. During the term of this Agreement,Vendor grants Rayback Collective authority and permission to use and publicize, with compensation, Vendor's image, likeness, voice, sound, name and other intellectual property of Vendor to advertise or promote Rayback Collective. Such use and publication may include, but is not limited to: promotion or educational materials, printed or electronic directories, internet and social media,including Facebook®,Twitter®, Instagram®,Snapchat®,Google+®,Google Maps®,Venmom, Linkedin®, etc., and any other media or content. All prints, digital reproductions, video, and audio recordings shall at all times remain the exclusive property of Rayback Collective, Section 10:Taxes. Vendor shall be responsible for any and all sales or use taxes required to be collected and/or paid to any government or taxing authority as a result of Vendor's business operations, either on or off the Premises. Section 11: Relationship of the Parties. Nothing in this Agreement shall be construed to create any relationship among or between the parties other than that of limited licensor and limited licensee. Under no circumstance shall Vendor be an employee,agent, partner, representative or joint venture of Rayback Collective. Section 12:Indemnification. Vendor shall indemnify, defend and hold Rayback Collective and Tebo (and their members, managers, directors, officers,agents,attorneys,accountants, representatives and employees) harmless against any and all claims, actions, causes of action,suits,damages,losses, expenses of any nature(including,but not limited to costs and reasonable attorneys'fees),and any other liability orobligation arising from or related to Vendor's acts or omissions on or about the Premises, Vendors' breach of this Agreement, and/or Vendor's failure to promptly and completely perform Vendor's obligations under this Agreement. Vendor's motor vehicle and all other personal property of Vendor and Vendor's employees, agents, representatives or contractors that is brought onto the Premises shall be at the sole risk and responsibility of Vendor. Vendor expressly waives any and all claims against Rayback Collective and Tebo (and their members, mangers, directors, officers, agents, attorneys, accountants, representatives and employees) for any damage to or theft of any motor vehicle or personal property that may occur or may be alleged to have occurred on the Premises, regardless of fault or cause. Section 13: Assignment Prohibited. This Agreement,and any rights or obligations granted to Vendor by the limited license,are not assignable or transferrable without the prior written consent of Rayback Collective,in its sole discretion. The failure by Rayback Collective to enforce any provision of this Agreement shall not constitute a waiver of its right to subsequently enforce the same provision. If any term or provision of this Agreement is void or unenforceable for any reason,it shall not affect the remainder of the Agreement. The term or provision will be severed and the remainder of the Agreement shall survive and will be reasonable construed to carry out the intent of the parties. Section 15: Entire Agreement/Modification This Agreement constitutes the entire agreement and understanding between the parties and supersedes all prior and contemporaneous agreements,whetherverbal or written. The Recitals are incorporated into this Agreement and are material terms of the Agreement. The Agreement may be amended,changed,or modified only in writing signed by both parties. Section 16:Expenses of Enforcement. Vendor agrees that such charge represents a fair and reasonable estimate of the cost and expense Rayback Collective will incur by reason of Vendor's cancellation or failure to attend. Vendor shall be required to pay any and all outstanding charges prior to Vendor's next scheduled time. The cancellation or failure to attend a scheduled shift, with or without notice, shall constitute a breach of the Mobile Food Vehicle Vendor Agreement. Arrival/ Departure. Vendors must arrive and be ready to sell by 10:30 a.m.for the lunch shift, and by 4:30 p.m.for the dinner shift(unless told otherwise by Rayback Collective Coordinator),and shall remain open until the close of the applicable shift.The MFV Coordinator(or Rayback Collective staff)will check Vendors in and assign their location within the Premises;staggered loading times may be required. In an effort to park in the pre-determined and designated spot, ALL Vendors must check in with Rayback Collective staff before parking or setting up to serve for the applicable shift (this may require Vendor to walk inside to confirm parking spot location). No motor vehicles (except participating vending motor vehicles) will be allowed on the promenade after 10:30 a.m. for lunch, and 4:30 p.m. for dinner. Non- vending motor vehicles are not allowed back on the outdoor space before 3:00 p.m.for lunch and 9:00 p.m. for dinner (unless told otherwise by MFV Coordinator); provided, however, that vending motor vehicles will not be able to load out until all patrons are done. If a Vendor arrives after 10:30 a.m.for a lunch shift, or after 4:30 p.m. for a dinner shift, Vendor may be subject to a $25.00 charge payable to Rayback Collective. If a Vendor leaves a shift early for whatever reason,Vendor maybe subject to a 50.00 chane and shall constitute a breach of the Mobile Food Vehicle Vendor Agreement. Vendor agrees that such charge represents a fair and reasonable estimate of the cost and expense Rayback Collective will incur by reason of Vendor's late arrival or early departure. Vendor shall be required to pay any and all outstanding charges prior to Vendor's next scheduled time. A late arrival shall constitute a breach of the Mobile Food Vehicle Vendor Agreement. Quantity of Food and Beverage. Vendor shall have enough food and non-alcohol beverage to service enough meals during each scheduled shift. Vendor will make all reasonable effort to serve meals throughout the entire shift and will NOT sell out before one (1) hour of shift's ending time. Mobile Food Vehicle Vendor Agreement 2016 Confidential Page 6 of 7 Scheduling. Rayback Collective will open up the schedule on the 15"'of each month and schedule shifts two (2) months out or on occasion one(1)quarter(3 months) in advance and at one time(aka 3 months of shift scheduled). Vendors are encouraged to email,text or call Rayback Collective's MFV Coordinator. Shifts will be determined once requests have been taken in to consideration. A common policy at the Rayback Collective is to encourage Vendors to serve a lunch shift in order to obtain dinner shifts. However, Rayback Collective does not guarantee every shift requested. The scheduling of Vendors will be at the sole discretion of MFV Coordinator. Vendors are responsible for submitting requested shifts to MFV Coordinator. Approved shifts will be delivered to Vendors to confirm once MFV Coordinator has finalized the schedule. Weather Policy: Vendors are required to attend their scheduled times, rain, snow or shine, unless otherwise notified by Rayback Collective. Clean-Up: Vendors must at all times maintain their spaces in a clean and sanitary condition and remove all waste and trash when departing from the scheduled shift. Vendors shall use a protective barrier or receptacle under working areas to catch any grease/oil spills. Vendors must clean and sweep their area at the end of the scheduled shift. No grease,cooking oils, leftover food or trash of any kind can be placed or left at the Premises;all such trash and waste shall be removed from the Premises by the Vendor at the conclusion of the scheduled time. On-site trash receptacles are for patrons use only. Generators: Vendors are not allowed to use generators on the Premises (unless told otherwise by MFV Coordinator); Rayback Collective should have appropriate electricity plug-ins for power. Sponsors: if a Vendor plans to participate in any marketing, promotional and/or other activity with a sponsor or corporate or nonprofit partner, including but not limited to motor vehicle wraps,giveaways, and other marketing activities, Vendor must obtain written approval from Rayback Collective, in its sole discretion, at least 14 days prior to the intended marketing, promotion or other activity, and Vendor agrees that Rayback Collective may require additional fees or charges as a condition to approval. Vendor Conduct/Dress Code. At all times Vendor shall operate its MFV in a first class manner and its employees, contractors, agents and representatives shall dress and conduct themselves in a manner to promote the best interests and good will of Rayback Collective. Electrical Adaptors:Rayback Collective may from time to time provide Vendors with applicable adaptors or extension cords to use and plug in to appropriate power outlets during the duration of their shift. ALL adaptors must be returned in a neat and orderly fashion to the bin.Any cord or adaptor not returned to the bin at the end of the shift may result in a charge equal to the full replacement cost for item not returned.
