(BAS) entered mto an Agreement whereby BAS was allowed to use the Boulder Model Purport facilrty. The Boulder Model Airport is located on City property m the vicmity of Boulder Reservoir, supervised by the Crty through the Pazks and Recreahon Department Ttus Agreement was made with BAS for a penod of thirty-five months m exchange for makmg certam physical improvements thereto and assishng in its mazntenance and operaaon. The Agreement was renewed m 1984 and 1991 with certam modificauons and at its expiration m 1996, the operauon of the Model.Airport has contmued under a de facto conhnuation of the Agreement BAS is a chartered club of the Academy of Model Aeronauhcs (#906). The Academy of Model Aeronautics provides msurance, hobby and professional assistance for over 2000 model azrplane clubs across the Umted States of Amenca. BAS ~s also fanuhaz with the Federal Commumcaaons Commission requirements for the proper use of radio frequenc~es used to fly these remote controlled model azrcraft Through its long association with the City oF Boulder, BAS has shown itself to be qualified to provide the supervisory services needed for the ~ successYul operahon of the Model Atrport. Enforcement of all rules and rea lations shall be performed only by duly authonzed Department of Parks and Recreation personnel or the Boulder Police Deparcment. COMPENSATION In considerauon of the mamtenance, repazr, and operauonal serv~ces provided hereunder for the benefit of the general publ~c, the Ciry shall permit BAS and its members to make and maintazn theu improvements, with pnor wntten approval by the City, and to use the Auport free-of-charge for the term of this Agreement. ARTICLE III ~ v,,. TERM The term of ttus Agreement shall be from July 5, 1996 until January 31, 2006, or until ternunation by either the City or BAS under the provisions of Article VI hereof. BAS agrees to assume all nsks of loss, m~ury, or damage of any lund or nature to any person or properry, includmg but not hmited to any buildmg or o[her strucmre, or to the contents of any such buildm~ or structure, or to any goods, chattels, or other property, whether belonoing to BAS, to the Ciry, or to others, wtuch results from the flyina of model azrcraft or any acvvity related thereto by members of BAS or by members of any other AMA charcered club durin~ the term of this Agreement from or m connecaon with the use of the Auport. BAS shall take reasonable safety and health precautions to protect the City, the pubhc and the property of others at all umes B BAS shall mdemmfy a~d hold harmless the City, tu officers and employees for all <** costs, includmg attomey's fees, salanes and expenses of the Office of the C~ty Attomey, and claims and~udgments ansmg after the execut~on of tkus Agreement m any way mcident or affected by this Agreement. C BAS agrees to cany, dunng the term of ilus A~reement, appropnate personal and properry damage msurance, covenng the City, rtself and its members, for the protecuon of the City and ~u officers and employees in the amount of at ]east $150,000.00/~600,000.00 for death and personal in~ury and ~50,000 00 for property damage. Such insurance shall be evidenced by the filing of an AMA chartered club addiuonal msured ceraficate with the Ciry. BAS further aarees ffiat, if the habihry lumts m the Colorado Governmental Immumty Act, 24-10-101, et se ., C.R.S., are raised, BAS will razse the coverage afforded by such pohcy to the City to at least equal such new hnuts. ARTICLE V LICENSES AND RESPONSIBILITIES OF BAS A BAS shall be solely responsible for obtainma any necessary hcenses and for complying wrth any apphcable federal, state, and mumcipal laws, ordmances, resoluuons, codes and regulauons m connect~on w~th its use of the Airport. BAS is responsible for the removal of trash and debns from the trash barrels, wkuch may be provided by the C~ry BAS may not conduct mamtenance acuviues on, or mazupulate the natural areas of the .4uport m any manner. ARTICLE VII ASSIGNMENT Neither ttus Agreement nor any interest herem, nor any ciazm hereunder, shall be assigned or transferred by BAS, except as expressly authonzed m wntmg by the Director of the Department of Pazks and RecreaUOn.
